Terms of Service

Article 1 (Agreement to These Terms)

By installing, using, or purchasing a license for this application, you are deemed to have agreed to these Terms of Service and the Privacy Policy.

Article 2 (Service Description)

This application converts speech into text and translates it as needed. Transcription and translation are available both via cloud AI and offline (local processing).

Article 3 (License)

1. This application is offered as a Free plan available indefinitely (with some feature limitations), and as paid plans: Subscription ($1/month) or One-time ($10). Translation, dictionary, history retention (unlimited, searchable, exportable), and per-application settings are available only on paid plans. Licenses are activated by email address.

2. A license is tied to one device and activated by email address. You can re-activate on a different device using the same email address.

3. When using cloud AI features, AI usage fees are charged separately by the AI service provider. You configure your own API key, and its management and usage fees are your responsibility.

4. No external communication or AI usage fees are incurred when using offline mode.

5. Purchasing the One-time plan immediately cancels the Subscription. The One-time plan is treated as the final plan.

Article 4 (Prohibited Conduct)

Users must not engage in the following conduct when using this application:

• Reverse engineering, decompiling, disassembling, or otherwise attempting to analyze the source code
• Unauthorized copying, lending, transferring, or selling of licenses
• Acts that violate laws or public order and morals
• Acts related to criminal activity
• Acts that infringe intellectual property, privacy, or other rights and interests of third parties

Article 5 (Suspension and Termination)

We may suspend use of the application or terminate the agreement without prior notice if a user violates any provision of these terms.

Article 6 (Disclaimer)

1. We are not liable for damages arising from use of this application except in cases of willful misconduct or gross negligence. Even where we bear liability for damages, it is limited to the amount of the fees paid by the user (for recurring billing, one month's fee).

2. We do not guarantee the accuracy, completeness, or fitness for a particular purpose of transcription or translation results produced by this application.

3. We are not liable for damages caused by specification changes, suspension, or failures of third-party services such as AI service providers or the payment service.

4. Management of API keys and license information is the user's responsibility, and we are not liable for damages caused by inadequate management thereof.

5. Due to the nature of digital content, refunds or cancellations for customer convenience are generally not accepted after purchase is confirmed.

6. We may end the service without prior notice for our own reasons, and are not liable for damages arising therefrom.

Article 7 (Exclusion of Anti-Social Forces)

Users represent that they are not affiliated with anti-social forces such as organized crime groups, their members, or related companies, and warrant that they will not become so in the future.

Article 8 (Changes to These Terms)

We may change these terms when necessary. Revised content takes effect when posted on the website, and significant changes may be announced in the application or on the website.

Article 9 (Governing Law and Jurisdiction)

These terms are governed by Japanese law. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes related to this service.
